Terms Governing B2B Orders

Overview
These terms apply to quotations, orders and supply of Lavilys smart bathroom products to professional buyers — bathroom retailers, showrooms, hotel projects, construction projects, remodeling companies and other B2B customers. By requesting a quotation or placing an order you agree to these terms as the order confirmation states them.
Quotations and orders
A quotation is an invitation to order, not a binding contract until we confirm an order in writing. Orders are confirmed by written order acknowledgement, which states the model, configuration, quantity, price, destination and delivery terms for that order. Confirm the model scope, configuration and destination before approval — options such as rough-in, voltage and plug type are manufacturing selections.
Minimum order
There is no minimum order quantity. A single unit is quoted at the factory wholesale price, and mixed-model orders are available. This lets you trial a showroom unit, run a pilot project or build an assortment at your own pace.
Pricing and payment
Prices are quoted in the currency stated on the order confirmation and remain valid for the period shown on the quotation. Payment terms, deposits and any balance are confirmed in writing per order. Prices are ex-works or per the agreed delivery term stated on the order confirmation, unless otherwise agreed.
Production and delivery
Production lead times and delivery windows are confirmed per order — they depend on the configuration, destination and current production position. Delivery is arranged according to the shipping method and delivery term agreed for that order. US warehouse stock may ship domestically where available; other orders ship by the agreed route.
Warranty
Units carry a 2-year full-unit warranty covering defects arising from material or manufacture. Replacement parts are provided for non-user-caused quality issues once the issue is reported with photos or video and reviewed by our technical team. The warranty does not cover damage from improper installation, misuse, unauthorised modification, normal wear of consumables, water-quality issues or external causes such as electrical surges.
Inspection and acceptance
Third-party pre-shipment inspection can be coordinated where the project requires it. Any claim for damage in transit or discrepancies must be reported promptly after receipt, with photographic evidence, so we can coordinate with the carrier and our after-sales team.
Certifications and compliance
Certification and document scope is model-specific and destination-specific. We confirm the available certificate files for the models you shortlist and your target market before an order is approved. Where a listing or document is not available for a model or destination, we state it plainly rather than implying coverage.
Liability
To the extent permitted by law, Lavilys' liability for a product is limited to the value of the product supplied. We are not liable for indirect or consequential damages, including loss of use, lost revenue or site delays, arising from product performance, delivery or support. Nothing in these terms limits liability that cannot be limited by law.
Intellectual property
Product designs, documentation and technology remain the property of Lavilys unless otherwise agreed in writing. Private-label and OEM/ODM work is performed under a separate written agreement that defines brand ownership and packaging requirements.
Governing law
These terms and any order confirmation are governed by the law stated on the order confirmation for that transaction. Disputes are resolved in the forum agreed in the order confirmation. If any provision is held unenforceable, the rest of these terms remain in effect.
